Saughter and May is advising INEOS Inovyn on the sale of its shares in INOVYN Produzione Italia, which operates the Rosignano and Tavazzano sites in Italy, to Esseco Industrial.
The Rosignano and Tavazzano sites in Italy produce essential chemicals that underpin critical sectors, including pharmaceuticals, energy, water treatment, food, defence and construction.
The transaction, which remains subject to the satisfaction of customary regulatory approvals, is expected to complete during 2026. As part of the transaction, INEOS Inovyn’s research and development activity based in Rosignano will remain with INEOS Inovyn and be carved out, subject to any consultation process required by applicable law.
Saughter and May is working closely with the INEOS Inovyn in-house legal team, led by Otto Grolig (General Counsel). Bonelli Erede advised on matters of Italian law, with a multidisciplinary team led by partner Gianfranco Veneziano.
